Acceptance of Terms

By accessing and using the services provided by karmoventil AS ("we," "our," or "us"), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.

These terms apply to all users of our website and services, including without limitation users who are browsers, vendors, customers, merchants, and contributors of content. karmoventil AS is a Danish company registered with CVR number 96325874 and VAT number DK96274138.

Description of Services

karmoventil provides restaurant service workflow optimization consultancy services, including but not limited to operational audits, process optimization, staff training, technology integration, performance monitoring, and ongoing consultation. Our services are designed to improve restaurant operational efficiency and customer experience.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice. We also reserve the right to refuse service to anyone for any reason at any time.

User Obligations

When using our services, you agree to:

  • Provide accurate, current, and complete information when requested
  • Maintain the security of your account credentials
  • Use our services only for lawful purposes and in accordance with these terms
  • Not interfere with or disrupt the services or servers or networks connected to the services
  • Not attempt to gain unauthorised access to any portion or feature of the services
  • Respect the intellectual property rights of karmoventil and third parties

You are responsible for all activities that occur under your account and for maintaining the confidentiality of any passwords or account information.

Intellectual Property

The service and its original content, features, and functionality are and will remain the exclusive property of karmoventil AS and its licensors. The service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

All methodologies, processes, reports, recommendations, and materials developed by karmoventil in the course of providing services remain our intellectual property. Clients receive a licence to use these materials solely for their internal business purposes.

Client Responsibilities

Clients engaging our services agree to:

  • Provide timely access to relevant business information and personnel
  • Implement recommended changes in good faith
  • Maintain confidentiality of proprietary methodologies and processes
  • Pay all fees according to agreed payment terms
  • Provide a safe working environment for our consultants when on-site

Payment Terms

Payment terms for consulting services will be specified in individual service agreements. Unless otherwise specified, invoices are due within 30 days of issue. Late payments may incur additional charges as permitted by Danish law.

All prices are quoted in Euros and exclude applicable taxes unless otherwise stated. We reserve the right to change our pricing at any time, though changes will not affect existing contractual commitments.

Limitation of Liability

To the maximum extent permitted by applicable law, karmoventil AS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the services.

Our total liability to you for all damages, losses, and causes of action (whether in contract, tort, or otherwise) shall not exceed the amount paid by you to karmoventil in the twelve months preceding the event giving rise to the claim.

Professional Standards

karmoventil maintains professional standards in accordance with industry best practices. While we strive to provide accurate and effective recommendations, the implementation and results of our optimization strategies depend on various factors beyond our control, including client adherence to recommendations and external market conditions.

Confidentiality

We understand that in the course of providing services, we may have access to confidential business information. We commit to maintaining the confidentiality of all client information and not disclosing it to third parties except as necessary to provide our services or as required by law.

Governing Law

These Terms of Service and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of Denmark. Any legal action or proceeding arising under these terms will be brought exclusively in the courts of Denmark, and you hereby consent to personal jurisdiction and venue therein.

Dispute Resolution

In the event of any dispute arising from these terms or our services, the parties agree to first attempt resolution through good faith negotiation. If such negotiation fails, disputes shall be resolved through the Danish court system in accordance with Danish law.

Termination

We may terminate or suspend your account and bar access to the service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including without limitation if you breach the Terms of Service.

If you wish to terminate your account, you may simply discontinue using the service. Upon termination, your right to use the service will cease immediately. All provisions of the Terms of Service which by their nature should survive termination shall survive termination.

Force Majeure

karmoventil shall not be liable for any failure or delay in performance under these terms which is due to fire, flood, earthquake, pandemic, governmental action, war, terrorism, or other causes beyond our reasonable control.

Severability

If any provision of these Terms of Service is held to be invalid or unenforceable by a court, the remaining provisions of these Terms of Service will remain in effect. These Terms of Service constitute the entire agreement between us regarding our service.

Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms of Service at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
